Acceptance of Terms

By accessing or using ScratchBoard, operated by Libromi LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including visitors, registered users, and subscribers.

Service Description

ScratchBoard is a cloud-based Software-as-a-Service (SaaS) platform that enables users to build, customize, and manage business applications with the assistance of AI. The platform is accessible at app.scratchboard.cloud.

Accounts

You must provide accurate, complete, and current information when registering for an account.
You are solely responsible for maintaining the confidentiality and security of your account credentials.
Each registration creates a single tenant. You are responsible for all activity that occurs under your account.
You must promptly notify us of any unauthorized use of your account.

Acceptable Use

You agree not to use ScratchBoard for any purpose that is unlawful, harmful, or otherwise prohibited by these terms. Without limitation, you shall not:

Engage in any illegal activities or use the platform to facilitate unlawful conduct.
Abuse, exploit, or misuse AI features, including attempts to extract or reverse-engineer AI model behavior.
Attempt to bypass, circumvent, or disable any security measures, authentication mechanisms, or access controls.
Resell, redistribute, or sublicense access to the platform without prior written permission from Libromi LLC.

Payment & Billing

Paid plans start at $1/month. Subscriptions are billed on a monthly or annual basis depending on your selected plan.
All payments are processed securely through Stripe. You agree to provide valid and current payment information.
Refunds are not issued for partial billing periods. You may cancel your subscription at any time, and access will continue until the end of the current billing cycle.
We reserve the right to modify pricing with at least 30 days' written notice. Continued use of the platform after a pricing change constitutes acceptance of the new terms.

AI Features

AI-powered features are provided on an “as-is” basis. While we strive for accuracy, AI-generated content and suggestions are not guaranteed to be complete, correct, or suitable for any particular purpose.
If you use Bring Your Own Key (BYOK) API keys for AI providers, you are solely responsible for managing, securing, and paying for those keys.
We do not use your data to train AI models. Your data is processed solely to deliver AI functionality within your workspace.

Intellectual Property

Your Data — You retain full ownership of all data, content, and records you create or upload to ScratchBoard.
Our Platform — ScratchBoard, including its software, design, documentation, and branding, is the intellectual property of Libromi LLC and is protected by applicable copyright and trademark laws.
Marketplace Apps — Applications available through the ScratchBoard Marketplace are licensed, not sold. Each marketplace app is subject to its own license terms.

Data & Privacy

Your use of ScratchBoard is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. We do not sell your personal data to third parties.

Uptime & SLA

We target 99.9% uptime for the ScratchBoard platform. Enterprise customers may be eligible for a formal Service Level Agreement (SLA) with guaranteed uptime commitments and remedies. No uptime guarantees are provided for free or basic-tier plans.

Termination

Either party may terminate the service relationship at any time. You may cancel your account through your account settings or by contacting us. Upon termination:

Your data will remain accessible and exportable for 30 days following termination.
After the 30-day period, your data will be permanently deleted in accordance with our data retention policy.
We reserve the right to terminate or suspend your account immediately if you violate these terms.

Limitation of Liability

To the maximum extent permitted by applicable law, Libromi LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of ScratchBoard. Our total aggregate liability for any claims arising under these terms shall not exceed the total fees paid by you to Libromi LLC in the twelve (12) months preceding the event giving rise to the claim.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under or in connection with these terms shall be resolved in the applicable courts within the United States.
